Professional entities (PLLC/professional corporation) are for licensed professions
Nevada professional entities carry ownership and licensing restrictions and are not meant for every business.
Nevada Chapter 89 governs professional entities, such as professional LLCs and professional corporations, formed to provide services that require a professional license.
These entities can limit who may own shares or interests and may require coordination with the relevant licensing board. A general retail, consulting or online business usually does not use this form.
Professional entities do not remove an individual professional's own responsibility for their professional services.
Checklist
- Confirm whether your service requires a state professional license
- Check your licensing board's rules on entity ownership
- Confirm that every owner meets ownership restrictions before filing
Common misconceptions
- Myth: A PLLC is just a more professional-sounding LLC.
- Reality: It is a regulated form with licensing and ownership rules. Use it only when the profession requires or allows it.
