Beneficial Ownership Information Reporting

Entities created under U.S. law are exempt from BOI reporting. Only certain entities formed under foreign-country law and registered to do business in the United States may need to report, subject to exemptions. An entity formed in another U.S. state is still U.S.-created. State foreign qualification is not foreign-country formation.

Reporting company name, DBAs, principal U.S. address, and TIN/EIN
Only information applicable to an eligible foreign-country reporting company after staff review
Current rules do not require reporting U.S. person beneficial-owner information; verify exact requirements with FinCEN

Reporting deadlines

U.S.-created entities: exempt, no domestic formation BOI deadline
Eligible foreign-country entities registered before March 26, 2025: rule deadline April 25, 2025
Later eligible registrations: generally 30 calendar days from registration notice; verify current rules
Staff must verify any update/correction obligation for an actual reporting company

Penalties for non-compliance
